These Terms of Service (“Terms”) govern your use of manifestlabs.co, go.manifestlabs.co, and any other website operated by Manifest Labs, LLC (“Manifest Labs,” “we,” “us,” or “our”) (together, the “Site”), and any quote you request through it.
By using the Site or submitting a quote request, you agree to these Terms. If you do not agree, do not use the Site.
1. Who may use the Site
The Site is intended for businesses and for individuals aged 18 or over acting on behalf of a business. By using it you confirm that you are at least 18 and that you have authority to act for the business you name.
2. What the Site is — and is not
The Site provides information about our private label supplement manufacturing services and lets you request a quote.
Nothing on the Site is an offer to sell, and submitting a quote request does not create a contract. A quote we send you is an estimate based on the information you provide. It is not binding until both parties sign a written agreement or we accept a purchase order in writing. Pricing, lead times, and minimum order quantities are subject to change, subject to raw material availability, and subject to confirmation of your final specification.
3. Information you give us
You agree that the information you submit is accurate and that you have the right to submit it. If you send us a formula, specification, artwork, or other material, you confirm that you own it or are licensed to use it, and that our manufacturing it for you will not infringe anyone else’s rights.
How we handle the personal information you give us is described in our Privacy Policy, which forms part of these Terms.
4. Your responsibility for your product
This section matters, so please read it carefully.
Manifest Labs manufactures to the specification agreed with you. You are the brand owner and you remain responsible for your finished product, including:
- The claims made on your label, your website, and in your marketing
- Whether your formula and its ingredients are lawful for sale in the markets where you sell
- Compliance with the Federal Food, Drug, and Cosmetic Act, the Dietary Supplement Health and Education Act, FTC advertising rules, and any state requirements that apply to you
- Any registration, notification, or listing your product requires
- Adverse event reporting for products you sell under your own brand
We can advise, and our certifications and testing support your quality file, but we do not act as your regulatory consultant and nothing we provide is legal or regulatory advice. If you are unsure whether your product or your claims are compliant, take professional advice before you sell.
5. Communications
By submitting a quote request you agree that we may contact you about it by email, telephone, and — if you have given your number and agreed to it — text message. You can withdraw consent to any channel at any time; for text messages, reply STOP. Withdrawing consent to one channel does not affect your quote or your order.
6. Intellectual property
The Site and everything on it — text, images, layout, logos, and the Manifest Labs name — belongs to us or our licensors and is protected by copyright and trademark law. You may view and print pages for the purpose of evaluating our services. You may not copy, republish, scrape, or use our content commercially without our written permission.
Any formula, artwork, or specification you send us remains yours. We use it only to quote for and manufacture your order, and we do not disclose it to anyone outside our business except where necessary to fulfil your order.
7. Acceptable use
You agree not to use the Site to submit false information, to interfere with its operation or security, to scrape or harvest data from it by automated means, or for any unlawful purpose.
8. Third-party services and links
The Site uses third-party services, including HighLevel, Inc. for forms and customer records and Meta Platforms, Inc. for advertising measurement. It may also link to sites we do not control. We are not responsible for third-party services or sites, and your use of them is governed by their terms.
9. Disclaimer
The Site is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error free, or free of harmful components, or that any information on it is complete or current.
This section applies to the Site. It does not limit any warranty we give you in a signed manufacturing agreement.
10. Limitation of liability
To the fullest extent permitted by law, Manifest Labs and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, or loss of data, arising out of or in connection with your use of the Site — whether based in contract, tort, negligence, strict liability, or otherwise, and even if we have been advised of the possibility of those damages.
Our total liability arising out of or relating to your use of the Site will not exceed one hundred US dollars (US$100).
These limits apply to the Site. Liability arising from a manufacturing order is governed by the agreement covering that order.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
11. Indemnity
You agree to indemnify and hold harmless Manifest Labs and its officers, employees, and agents from any claim, loss, liability, or expense (including reasonable legal fees) arising from your use of the Site, your breach of these Terms, or your infringement of anyone else’s rights.
12. Governing law and venue
These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the jurisdiction of those courts.
13. Changes to these Terms
We may update these Terms. When we do, we will change the “Last updated” date above. Continuing to use the Site after a change means you accept the updated Terms.
14. General
If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce any provision is not a waiver of it. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Site.
